We will notify you of any indemnifiable claims, provided that failure to provide immediate notice does not relieve you of your obligations unless you are materially affected. We may control the defense and settlement of such claim at your expense, including the choice of counsel, but will not settle claims that require non-monetary obligations on your part without your consent (which shall not be unreasonably withheld).
